In 2025, due to an aggregate of factors, we are witnessing a less restrained and less enforceable form of corporate law. Hostile takeovers and corporate greed can have a volatile effect on world markets, and they are becoming increasingly more vulnerable to manipulation by the unforeseen instability of future corporate stability. In theory, it's not supposed to be this way, and hopefully, we will see more restraints soon, which will equate to more stability. Corporations and markets thrive on foreseeability and good faith dealings and need strictly enforced regulation for the sake of survival. This course is not based on politics, but rather the sound principles of corporate law, the types of corporations, the functions of the officers, business financing, and at the end, there is a chapter taken from Wikipedia that discusses the hostile takeover of Twitter by Elon Musk. The hostile takeover of Twitter by Elon Musk may be a harbinger for how corporations will play a role in the future stability of world markets. Reviewing how Musk was able to maneuver his own interests, versus the interests of society and other shareholders without redress, demonstrates the complexities that come when individuals have more money and political pull than the state that wants to prosecute them for market manipulation. Corporations have a fiduciary duty to their shareholders to first and foremost maximise profits. However, as you will learn, with maximising profits, there also comes a need for a balance that takes into consideration social responsibility. This course is based on the nuts and bolts of how businesses are built and managed.Corporate law is the body of law governing the rights, relations, and conduct of persons, companies, organizations, and businesses. It refers to the legal practice relating to or the theory of corporations. Corporate law often describes the law relating to matters that derive directly from the life cycle of a corporation. Corporate law, along with contract law, is probably two of the most lucrative courses in business. Corporate law encompasses the formation, funding, governance, and death of a corporation. While the minute nature of corporate governance as personified by share ownership, capital market, and business culture rules differ, similar legal characteristics and legal problems exist across many jurisdictions. Corporate law regulates how corporations, investors, shareholders, directors, employees, creditors, and other stakeholders, such as consumers, the community, and the environment, interact with one another. This publication will cover corporate characteristics, limited liability companies, C and S corporations, corporate formation, mergers and acquisitions, proxy fights, and takeovers and defenses. This course will also review two case law matters concerning corporate history and the resulting changes in corporate law philosophy.
